Terms of Service

These Terms of Service govern your access to and use of LostLogic. By accessing our website, joining our waitlist, or using the platform, you agree to be bound by these Terms.

1. Acceptance of Terms

1.1 Agreement to Terms

By accessing the LostLogic website (lostlogic.io) or using the LostLogic platform ("Service"), you agree to these Terms, our Privacy Policy, and all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1.2 Age Requirement

You must be at least 18 years old to use LostLogic. By agreeing to these Terms, you represent that you meet this age requirement.

1.3 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email and by updating the "Last updated" date above. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

2. Description of Service

2.1 What LostLogic Does

LostLogic is an enterprise platform for managing Google Search Console user permissions at scale. The Service allows you to:

  • View all Google Search Console properties associated with your account
  • See all users and their permission levels across your properties
  • Add or remove users in bulk across multiple properties
  • Receive alerts when unauthorized owners are detected
  • Discover subdomains indexed by Google
  • Generate audit trails for compliance purposes

2.2 Service Availability

LostLogic is currently in private beta and available by invitation only through our waitlist. We reserve the right to accept or reject waitlist applications at our sole discretion.

2.3 Service Modifications

We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

3. User Accounts and Waitlist

3.1 Waitlist Registration

To join our waitlist, you must provide accurate and complete information, including:

  • Your name
  • Valid email address
  • Company name
  • Number of Search Console properties

You agree to keep this information current and accurate.

3.2 Account Creation

Once invited off the waitlist, you will create an account by:

  • Authenticating with your Google account via OAuth 2.0
  • Granting LostLogic permission to access your Search Console properties
  • Accepting these Terms and our Privacy Policy

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We are not liable for any loss or damage from your failure to maintain account security.

3.4 Account Restrictions

You may only create one account per organization unless you have our written permission for multiple accounts. You may not share account access or transfer your account to another party without our consent.

4. Permitted Use

You may use LostLogic for the following lawful purposes:

4.1 Authorized Uses

  • Managing Search Console user permissions for properties you own or are authorized to manage
  • Monitoring for unauthorized access to your Search Console properties
  • Generating compliance reports for internal audits
  • Bulk user provisioning/deprovisioning as part of employee onboarding/offboarding
  • Security monitoring and incident response

4.2 Compliance with Laws

You agree to use the Service in compliance with all applicable laws, regulations, and third-party rights, including:

  • Data protection laws (GDPR, CCPA, etc.)
  • Intellectual property rights
  • Export control laws
  • Anti-spam regulations

5. Prohibited Use

You may NOT use LostLogic to:

5.1 Illegal Activities

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Engage in fraud, phishing, or other deceptive practices
  • Access Search Console properties you are not authorized to manage

5.2 System Abuse

  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Introduce viruses, malware, or other harmful code
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated tools (bots, scrapers) to access the Service beyond normal API usage
  • Overload our systems with excessive API requests

5.3 Misuse of Data

  • Access, store, or distribute Search Console data in violation of Google's terms
  • Use Search Console data for purposes unrelated to SEO and website management
  • Sell, rent, or share access to Search Console data
  • Use the Service to spy on competitors without authorization

5.4 Commercial Restrictions

  • Resell or sublicense the Service without our written permission
  • Create derivative works based on the Service
  • Use the Service to build a competing product
  • Remove or obscure any proprietary notices or labels

5.5 Violations

We reserve the right to investigate suspected violations and take appropriate action, including:

  • Suspending or terminating your account
  • Removing content or data
  • Reporting illegal activity to law enforcement
  • Pursuing legal action

6. Google API Services Compliance

IMPORTANT: LostLogic's use of Google APIs is subject to Google's terms and policies.

6.1 Google API Services User Data Policy

LostLogic's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

Specifically, LostLogic will:

  • Only request access to Google Search Console data necessary to provide our service
  • Not use Google Search Console data for serving advertisements
  • Not allow humans to read user data unless we have your permission, or it is necessary for security purposes, or to comply with applicable law
  • Not transfer Google Search Console data to third parties except as necessary to provide or improve user-facing features that are prominent in LostLogic's user interface, or to comply with applicable law

6.2 Scope of Access

When you authenticate LostLogic with your Google account, you grant us permission to:

  • Read your Search Console property list
  • Read user permissions for your properties
  • Add or remove users from your properties (only when you explicitly instruct us to)

We do NOT access:

  • Search queries, clicks, impressions, or performance data
  • Google Analytics, Ads, or Tag Manager accounts
  • Gmail or other Google services

6.3 Revoking Access

You may revoke LostLogic's access to your Google account at any time by visiting: https://myaccount.google.com/permissions

Revoking access will prevent LostLogic from functioning, but you will retain access to any audit reports or data you previously exported.

6.4 Your Google Account Obligations

You represent and warrant that:

  • You own or are authorized to manage the Search Console properties you connect to LostLogic
  • Your use of Google Search Console complies with Google's Terms of Service
  • You have obtained necessary permissions from your organization to grant LostLogic access

7. Payment Terms

7.1 Pricing

Current pricing is available at lostlogic.io/pricing. Prices are subject to change with 30 days' notice to existing customers. Waitlist members who sign up before general availability receive locked-in early adopter pricing.

7.2 Billing Cycle

  • Subscriptions are billed monthly or annually in advance
  • Billing begins on the date you are granted platform access
  • You authorize us to charge your payment method on each billing cycle

7.3 Payment Methods

We accept:

  • Credit cards (via Stripe)
  • Debit cards (via Stripe)
  • Invoice/bank transfer (annual enterprise plans only, subject to approval)

7.4 Failed Payments

If a payment fails:

  • We will attempt to charge your payment method up to 3 times
  • You will receive email notifications about failed payments
  • After 10 days of failed payment, your account may be suspended
  • After 30 days, your account may be terminated

7.5 Refunds

  • Waitlist deposits (if applicable): Fully refundable until you are granted platform access
  • Monthly subscriptions: No refunds for partial months; cancellation takes effect at end of current billing period
  • Annual subscriptions: Refundable within 30 days of initial purchase; no refunds after 30 days
  • We reserve the right to issue discretionary refunds on a case-by-case basis

7.6 Taxes

Prices do not include applicable taxes (VAT, sales tax, etc.). You are responsible for all taxes associated with your purchase. We will collect and remit taxes as required by law.

7.7 Price Changes

We may change our pricing with 30 days' notice. Price increases will not affect your current billing period. You may cancel before the price increase takes effect if you do not agree to the new pricing.

8. Data and Privacy

8.1 Privacy Policy

Our collection, use, and disclosure of your personal data is governed by our Privacy Policy, available at lostlogic.io/privacy. By using the Service, you consent to our Privacy Policy.

8.2 Your Data

You retain all rights to:

  • The Search Console properties you connect
  • User permission data associated with your properties
  • Any reports or exports you generate

8.3 Our Data

We own all rights to:

  • The LostLogic platform, code, and infrastructure
  • Aggregated, anonymized usage data
  • Service improvements derived from usage patterns

8.4 Data Security

We implement reasonable security measures to protect your data (see Privacy Policy for details). However, no system is 100% secure, and we cannot guarantee absolute security.

8.5 Data Retention

  • Active accounts: Data retained for service delivery and compliance
  • After cancellation: Property and user data deleted within 30 days
  • Billing records: Retained for 7 years (legal requirement)
  • See Privacy Policy for complete retention schedule

9. Intellectual Property Rights

9.1 LostLogic's IP

The Service and all content, features, and functionality are owned by LostLogic AB and protected by copyright, trademark, patent, and other intellectual property laws.

You may not:

  • Copy, modify, or create derivative works from the Service
  • Reverse engineer or attempt to extract source code
  • Remove or alter any proprietary notices
  • Use our trademarks without written permission

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose, subject to these Terms.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback without compensation or attribution.

9.4 User Content

You retain ownership of any content you input into the Service (e.g., custom notes, tags). By using the Service, you grant us a license to host, store, and display that content solely to provide the Service to you.

10. Third-Party Services and Links

10.1 Third-Party Integrations

The Service integrates with third-party services, including:

  • Google Search Console (via Google APIs)
  • AWS (hosting and infrastructure)
  • Stripe (payment processing)
  • Email service providers (transactional emails)

Your use of these third-party services is subject to their respective terms and policies. We are not responsible for third-party services.

10.2 Third-Party Links

Our website may contain links to third-party websites. We do not endorse or assume responsibility for the content, privacy policies, or practices of third-party sites.

11. Disclaimers and Warranties

11.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY.

11.2 No Guarantee of Results

We do not guarantee that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected

11.3 Google API Limitations

We are not responsible for:

  • Changes to Google Search Console API that affect functionality
  • Google's API rate limits or service interruptions
  • Google's terms of service changes
  • Loss of access to Google services

11.4 User Responsibility

You are solely responsible for:

  • Your use of the Service and any consequences thereof
  • Ensuring compliance with applicable laws and Google's terms
  • Backing up your data
  • Monitoring your Search Console properties for security issues

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOSTLOGIC AB SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, OR USE, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.

This applies even if we have been advised of the possibility of such damages.

12.2 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid us in the 12 months preceding the claim, OR
  • €100 (one hundred euros)

12.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12.4 Third-Party Actions

We are not liable for:

  • Actions taken by Google (e.g., API changes, service interruptions)
  • Unauthorized access by third parties
  • Acts of God, war, terrorism, or other events beyond our control

13. Indemnification

You agree to indemnify, defend, and hold harmless LostLogic AB, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Your violation of applicable laws or regulations
  • Unauthorized access to Search Console properties you do not own or are not authorized to manage
  • Content or data you submit to the Service

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

  • Emailing support@lostlogic.io
  • Following the account deletion process in the platform (when available)

Termination takes effect immediately. You remain responsible for all charges incurred prior to termination.

14.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if:

  • You violate these Terms
  • Your account shows signs of fraudulent activity
  • You engage in prohibited use (Section 5)
  • Your payment fails and remains unpaid for 30 days
  • We discontinue the Service (with 30 days' notice)

14.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • We will delete your data within 30 days (see Privacy Policy)
  • You remain liable for all outstanding payments
  • Sections that should survive termination (e.g., indemnification, limitation of liability) will remain in effect

14.4 No Refund on Termination for Cause

If we terminate your account for violating these Terms, you are not entitled to a refund of any prepaid fees.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Sweden, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Stockholm, Sweden.

15.3 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@lostlogic.io. We will attempt to resolve disputes within 30 days.

15.4 Arbitration (Optional)

For enterprise customers, we may agree to binding arbitration as an alternative to court proceedings. Arbitration terms will be specified in your enterprise agreement.

15.5 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15.6 Time Limit for Claims

You must bring any claim within one (1) year after the cause of action arises, or the claim is permanently barred.

16. Changes to These Terms

16.1 Right to Modify

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top
  • We will notify active users via email at least 30 days before changes take effect
  • We will post the updated Terms on our website

16.2 Material Changes

For material changes (e.g., changes to payment terms, liability limitations, dispute resolution):

  • We will provide prominent notice
  • You may terminate your account if you do not agree to the changes
  • Your continued use after changes take effect constitutes acceptance

16.3 Previous Versions

Previous versions of these Terms are available upon request.

17. Entire Agreement

17.1 Complete Agreement

These Terms, together with our Privacy Policy and any enterprise agreements or DPAs, constitute the entire agreement between you and LostLogic AB regarding the Service.

17.2 Supersedes Prior Agreements

These Terms supersede all prior or contemporaneous communications, proposals, or agreements (oral or written) regarding the Service.

17.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

17.5 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without restriction.

17.6 Force Majeure

We are not liable for any failure to perform our obligations due to events beyond our reasonable control (e.g., natural disasters, war, government actions, pandemics, internet outages).
